Acceptance

If you create an account, you accept these Terms by checking the box indicating you agree to the Terms of Use and Privacy Policy during sign-up. If you log in and continue to use the Platform, you acknowledge and agree to these Terms.

1. About the Platform

Shellfeed provides a technology platform designed to assist users in navigating and managing aspects of the residential property journey, including property discovery and submitting inquiries to property owners or agents (the "Services").

We are not a real estate broker, real estate agent, Multiple Listing Service (MLS), attorney, law firm, mortgage lender, credit provider, surveyor, appraiser, or financial adviser. We do not represent buyers or sellers in real estate transactions. You are responsible for verifying any information you obtain through the Platform before making decisions.

2. Eligibility

You must:

• Be at least 18 years old;
• Have the legal capacity to enter into a binding contract; and
• Use the Platform only in compliance with applicable laws.

3. Account Registration

To access certain features, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information;
• Maintain the security of your login credentials; and
• Notify us promptly of any unauthorized use of your account.

You are responsible for all activity conducted through your account.

4. No Professional Advice

All information provided through the Platform is for general informational purposes only.

Nothing on the Platform constitutes:

• Legal advice;
• Real estate brokerage services;
• Financial, investment, or mortgage advice;
• Tax advice; or
• Property valuation or appraisal services.

You acknowledge that real estate decisions involve risk and should be made only after consulting licensed professionals.

5. Third-Party Services

The Platform may integrate with or link to third-party services (including lenders, title companies, attorneys, inspectors, or data providers). We:

• Do not control or endorse third-party services;
• Are not responsible for their actions, omissions, or performance; and
• Do not guarantee results or outcomes.

Your dealings with third parties are solely between you and those parties.

6. Intellectual Property

All content, software, models, algorithms, designs, trademarks, and materials on the Platform are owned by or licensed to us and are protected by U.S. and international intellectual property laws.

You may not copy, modify, distribute, sell, sublicense, reverse engineer, or exploit the Platform without our prior written consent.

6A. User Content

"User Content" means any information, text, photos, listings, or other materials you submit to the Platform.

You retain ownership of your User Content. You represent and warrant that you own or have all necessary rights to submit your User Content and that your User Content is not false, misleading, unlawful, or infringing.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, publish, and distribute your User Content as necessary to operate and provide the Services (including displaying listings to other users).

We do not endorse, verify, or guarantee User Content, and we are not responsible for User Content posted by users. We may remove or restrict access to User Content at any time if we believe it violates these Terms, applicable law, or poses risk to the Platform or others.

6B. Fair Housing

You may not use the Platform to publish, request, or communicate any preference, limitation, or discrimination that violates applicable fair housing laws. We may remove content and suspend or terminate accounts for violations.

7. Acceptable Use

You agree not to:

• Use the Platform for unlawful, deceptive, or fraudulent purposes;
• Upload false, misleading, discriminatory, or infringing content;
• Interfere with or disrupt Platform security or operations; or
• Attempt to access systems or data without authorization.

We reserve the right to suspend or terminate access for violations.

8. Fees and Payments (If Applicable)

Certain features may require payment. Where applicable:

• Fees will be disclosed prior to purchase;
• Payments are non-refundable unless stated otherwise; and
• We may modify pricing with reasonable notice.

9. Disclaimers and Limitation of Liability

Some states do not allow certain limitations, so these may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Shellfeed and Gromoire Inc., its officers, directors, employees, and affiliates from any claims arising out of (a) your use of the Platform, (b) your User Content, or (c) your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access at any time for any reason, including violation of these Terms. You may discontinue use at any time.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute shall be resolved exclusively in state or federal courts located in Delaware, unless otherwise required by law.

12A. DMCA (Copyright Complaints)

If you believe content on the Platform infringes your copyright, please email szharass@shellfeed.com with subject line "DMCA Takedown Request" and include: (1) identification of the copyrighted work, (2) identification of the allegedly infringing material, (3) your contact information, (4) a statement of good-faith belief, (5) a statement under penalty of perjury that the notice is accurate, and (6) your physical or electronic signature.

12B. Changes to Terms

We may update these Terms from time to time. The "Last updated" date reflects the current version. Your continued use of the Platform after changes become effective means you accept the updated Terms.

12C. Miscellaneous

If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets. These Terms and any policies referenced (including the Privacy Policy) are the entire agreement between you and us regarding the Platform.
